Raising of capital via Private Placement rather than public placement or IPO. The result is the sale of securities to a relatively small number of investors. Investors involved in private placements are usually large banks, mutual funds, insurance companies, and pension funds.

 

A group of people or institutions providing equity or debt capital to a company. Private placements are privately offered and are restricted to qualified individuals, which typically means individuals with a net worth of at least € 1 million. Those investing in the private placement consist of a relatively small group of people or companies, in contrast with public offerings that are sold to thousands of investors. One advantage of the private placement market is that it offers confidentiality.

 

Since a private placement is offered to a few, select individuals, the placement does not have to be registered with BaFin or other similar authorities. In many cases detailed financial information is not disclosed and a the need for a prospectus is waived. Finally since the placements are private rather than public, the average investor is only made aware of the placement usually after it has occurred.
